Terms of Service

These Terms govern your use of Idea Factory (theideafactory.xyz), operated by Codeface Media LLC, a Texas limited liability company (“we”, “us”). By using the service, you agree to these Terms. If you do not agree, do not use the service.

What Idea Factory is

Idea Factory generates business idea reports using an automated software pipeline. This includes the free Startup Idea Reality Check and paid reports produced from the ideas you submit. The output is generated by software.

Not professional advice

Reports are automated software output. They are not legal, financial, investment, tax, or other professional advice, and they are not a substitute for your own research and judgment. We do not guarantee any business, revenue, funding, or validation outcome. Decisions you make based on a report are your own.

Accounts

You log in with a passwordless email link. You are responsible for keeping access to your email account secure and for activity under your account. Provide an email address you control.

Credits and purchases

Some features use credits. Credits are prepaid usage: you buy them in advance and they are consumed when you run paid actions. Prices are shown at checkout. Payments are processed by Stripe or, if you choose, by Bitcoin Lightning through Breez. Refunds are described in our Refund Policy.

The Buyer Proof Kit

The Buyer Proof Kit is a paid add-on ($49) that turns an eligible report into a buyer test you can run yourself. It is important that you understand its scope before purchasing:

• It is generated by software. It is not a human review of your idea.
• It does not include named prospects, contact lists, or introductions to any buyer.
• It does not promise or guarantee that your idea will be validated, that buyers will reply, or that you will earn revenue.
• It covers one buyer test cycle for the report, including one narrowed re-test if the tracker tells you to narrow rather than stop.

The kit is only offered when a report is specific enough to test. Refund conditions for the kit are in our Refund Policy.

Acceptable use

You agree not to use Idea Factory to:

• Break the law or plan activity that is illegal, deceptive, or harmful.
• Submit ideas that require you to misrepresent yourself, evade tax, hide income, or harm others.
• Attempt to disrupt, overload, scrape, or reverse engineer the service or bypass its abuse protections.
• Resell or redistribute the service or its output as your own automated product.

We may suspend or close accounts that violate these Terms or that put the service or other users at risk.

Your content

You keep ownership of the ideas you submit and the reports generated for you. You grant us the limited permission needed to store and process your submissions to run the service, as described in our Privacy Policy. We do not sell your idea submissions.

Availability

We aim to keep the service running but do not guarantee uninterrupted availability. The service is provided “as is” and “as available” without warranties of any kind, to the extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, Codeface Media LLC is not liable for indirect, incidental, or consequential damages, or for lost profits or lost business, arising from your use of the service. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim.

Changes to these Terms

We may update these Terms as the product changes. When we do, we will revise the “Last updated” date above. Continued use after a change means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. Disputes will be handled in the courts located in Texas.
